Project Management for a Sales-Process

With sale of companies BLECKER ENGINEERS has a lot of operational experiences. We had responsility for project-management to sell an international company with 8 foreign leagal entities and appr. 9.000 employees. The sales process was successful handeled within a short period.

As a basis there was a clear committment from the two 50/50 shareholders to sell the company.
With the first step the whole project team (legal company, a certified public accountant and a professional consulter) was nominated. Clear rules and responsibilities were defined.

The sales process was started by building up a short company profile, a virtuell data room and a market research for potential investors. First a long list was generated and after that a short list followed by management presentations and negotiations for sales price, liabilities/risks, job committments and payment terms.

It was essential to involve unions and management into the process at a certain time.
For this kind of business you need duty to obtain consent, which in this case was also an challenging hurdle.

Due-Diligence of Investor

A Due-Diligence-Process will be chosen by an investor in case of acquire shares of a company. In general there are different reasons and forms of investments: follow-up regulation, Management-Buy-Out (MBO), Management-Buy-In (MBI), cooperation, mergers or acquisition of majorities oder minorities.

In oder to minimize the risk for the investor and the financial institution the rule of a formal Due-Diligence-Process is choosen. BLECKER ENGINEERS has experience with analyzing potential synergy effects between pruchasing organizations of OEM´s or with the development of a Commercial-Due-Diligence within the automotive industry. In addition there is further experience availabe in managing a Venture-Capital-Fond with a Venture-Capital-Team.

Merger and Consolidation

After successful negotiations and signiture of the sales & purchasing agreement the real work starts. All the targets shown in the Business Case have to be achieved. The merger and consolidation have to be implemented.

Main focus next to the real functional work are the areas like different company cultures and management competence. Only within these two sectors a lot of mergers failed. Corporate-Strategy

Currently a lot of companies do not have any or at least an incomplete Corporate-Strategy. Very often you find a Corporate-Strategy but which is internally confidential and not known in the Company. A Strategy has to be oriented to customer needs and the success factors. It is essential to internally develop, harmonize, communicate und consequently execute the strategy.
